Electronic voting and proxy votes
I was looking for an example on how one includes into bylaws to allow a ‘vote by proxy’ and ‘voting by email outside of meetings’. Is it O.K. for boards to vote on issues that can’t wait until a meeting by e-mail – and how would that be included in bylaws.
